Terms of Service

Please read these Terms of Service carefully before using the website at catalyst88.com, the Catalyst88 private community mobile and web application (the "App"), or purchasing any product or service offered by Catalyst88, LLC ("Catalyst88," "we," "us," or "our"). By accessing the website, downloading or using the App, or enrolling in any program, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Services. By using the Services you represent and warrant that you meet these requirements. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. The Services

Catalyst88 provides the following Services:

• Marketing website — informational content, program descriptions, and application forms at catalyst88.com.
• Catalyst88 Community App — a private, members-only iOS, Android, and web application providing community forums, group channels, direct messaging, live event access, resource libraries, coaching content, and other features available to enrolled program members.
• Chairman's Circle — a monthly subscription mastermind and coaching program with access to the App community.
• Chairman's Circle PRO — a premium monthly subscription with direct advisory access and enhanced App features.
• AI Blueprint Series — a digital course and resource library accessible through the App and/or web.

All product descriptions, pricing, features, and availability are subject to change without notice. We reserve the right to modify, suspend, or discontinue any Service at any time.

3. Account Registration

To access the App and enrolled program content you must create an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it up to date.
• Keep your password confidential and not share your account credentials with any other person.
• Notify us immediately at [email protected] if you suspect unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account.

One account per person. Creating multiple accounts to circumvent access restrictions or bans is prohibited and will result in termination of all associated accounts.

4. Purchases, Payments and Subscriptions

All purchases are processed through Stripe (web/direct checkout) or, where applicable, Apple's App Store or Google Play. By providing payment information you authorise Catalyst88 (or the applicable store) to charge the applicable fees to your payment method. Prices are listed in US Dollars unless otherwise stated. You are responsible for any applicable taxes.

Subscriptions — Chairman's Circle and Chairman's Circle PRO are billed on a recurring monthly or annual basis as selected at checkout. Subscriptions renew automatically until cancelled. You may cancel at any time through your App account settings, your Apple/Google subscription management, or by emailing [email protected]. Cancellation takes effect at the end of the current paid billing period; access continues until that date.

App Store purchases — subscriptions or one-time purchases made through Apple's App Store or Google Play are subject to those stores' payment terms. Catalyst88 cannot issue refunds for purchases made through those channels; refund requests must be directed to Apple or Google respectively.

5. Refund Policy

Digital products and courses — all sales of digital products (including the AI Blueprint Series) are final and non-refundable once access has been granted.

Subscription programs (direct billing) — no partial-month refunds are issued. If you believe you were charged in error, contact us within 14 days of the charge at [email protected].

We reserve the right to issue refunds at our sole discretion on a case-by-case basis.

6. Community Guidelines and Acceptable Use

The Catalyst88 App is a private, curated community for serious operators and founders. You agree to uphold the following standards at all times.

6.1 Encouraged behaviour

• Share genuine insights, wins, and lessons from your business experience.
• Give constructive, respectful feedback — challenge ideas, not people.
• Respect the confidentiality of what other members share inside the community. What is shared in the community stays in the community.
• Support fellow members with introductions, referrals, and accountability.

6.2 Prohibited conduct

You agree not to post, transmit, or facilitate content or behaviour that:

• Is unlawful, defamatory, harassing, abusive, threatening, obscene, or discriminatory on the basis of race, gender, religion, nationality, disability, sexual orientation, or any other protected characteristic.
• Constitutes spam, unsolicited advertising, or self-promotion without prior approval from Catalyst88 staff.
• Shares, reproduces, or distributes paid program content (course materials, recordings, resources) outside the App or to non-members.
• Impersonates any person or entity, or misrepresents your affiliation with any person or entity.
• Contains viruses, malware, or any code designed to disrupt, damage, or gain unauthorised access to any system.
• Violates the intellectual property rights of Catalyst88 or any third party.
• Solicits personal financial information from other members or promotes investment schemes, MLM programs, or other high-risk financial products.
• Interferes with or disrupts the integrity or performance of the App or its infrastructure.

Catalyst88 reserves the right — but not the obligation — to monitor, review, edit, or remove any content that violates these guidelines, at our sole discretion and without prior notice. Serious or repeated violations will result in immediate suspension or permanent termination of your account without refund.

7. User-Generated Content

You retain ownership of content you post in the App ("Your Content"). By posting Your Content, you grant Catalyst88 a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, adapt, publish, and display Your Content solely for the purpose of operating and improving the Services.

You represent and warrant that you own or have the necessary rights to Your Content and that posting it does not violate any third-party rights or applicable laws. Catalyst88 does not endorse any user-generated content and takes no responsibility for it.

8. App Licence

Subject to your compliance with these Terms and maintenance of an active paid membership, Catalyst88 grants you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on devices you own or control, solely for your personal, non-commercial use in connection with your enrolled program.

You may not:

• Copy, modify, or create derivative works of the App or its content.
• Reverse engineer, decompile, or disassemble the App except as permitted by applicable law.
• Rent, lease, lend, sell, sublicence, or otherwise transfer the App or your account to any third party.
• Use the App for any commercial purpose not permitted by these Terms.

9. Intellectual Property

All content on the website and in the App — including text, graphics, logos, videos, course materials, software, and the App itself — is the property of Catalyst88 or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence in Section 8.

10. Push Notifications and Communications

By creating an App account you agree to receive transactional notifications necessary for the operation of the Services (e.g., account security alerts, payment receipts). You may opt in to community activity notifications and may manage or revoke notification permissions at any time in your device or App settings. Opting out of push notifications does not affect your access to the App.

11. Third-Party Services and App Stores

The App may integrate with or link to third-party services (Stripe, Apple, Google, YouTube, SymoGlobal, Parsimony, Awesomers, MyMentorSteve, and others). Your use of those services is governed by their respective terms and privacy policies. Catalyst88 is not responsible for the availability, accuracy, or practices of any third-party service.

If you download the App from Apple's App Store, Apple is not a party to these Terms and has no obligation to provide maintenance or support for the App. Apple and its subsidiaries are third-party beneficiaries of these Terms solely with respect to App Store provisions.

12. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT, PRODUCTS, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CATALYST88 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Business coaching and educational content are provided for informational and motivational purposes only. Results vary and are not guaranteed. Testimonials and examples of results are not typical and do not constitute a guarantee of your own results.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CATALYST88 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CATALYST88'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CATALYST88 IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Catalyst88 and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Termination

Catalyst88 may suspend or terminate your account and access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your licence to use the App ceases immediately. Sections 7, 9, 12, 13, 14, 16, and 17 survive termination.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in King County, Washington. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on this page with an updated "Last updated" date. For material changes, we will notify active App users via an in-app notice or email at least 14 days before the change takes effect. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
