Terms of Service

Please read these Terms of Service carefully before using the website at catalyst88.com, the Catalyst88 web applications, any mobile apps we may offer when available, or purchasing an offering from Catalyst88, LLC, a Wyoming limited liability company ("Catalyst88," "we," "us," or "our"). Our mailing address is 6001 W Parmer Lane, Suite 370-128, Austin, TX 78727. By accessing the website, using the Services (including downloading a mobile app if and when one is available), or enrolling in an Offering, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Services. By using the Services you represent and warrant that you meet these requirements. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. The Services

Catalyst88 offers memberships, software, community access, courses, and other programs as described on our website or at checkout (each an "Offering"). The features, price, and term of each Offering are stated at the point of purchase. Where an Offering is described as "lifetime," that means access for the life of the Offering, not for a person's lifetime, and not a promise that the Offering will continue forever. Access to one Offering may be included with another; what is included is stated at checkout.

The Services include the marketing website at catalyst88.com and the Catalyst88 web applications, including Founder OS at catalyst88.com/app and the Community at catalyst88.com/community, plus any mobile apps we may offer when available (together, the "App"). The legacy community at go.catalyst88.com remains available during the transition.

Descriptions, pricing, features, and availability can change. We may modify, suspend, or discontinue any Service or Offering. This page does not limit which Offerings we may sell now or later.

3. Account registration

Member areas sign you in with an email magic link. We do not use passwords. You agree to:

• Provide an accurate email address you control, and keep your account information current.
• Keep that email account secure. You are responsible for sign-in links sent to it.
• Notify us immediately at support@catalyst88.com if you suspect unauthorised access to your account.
• Accept responsibility for activity that occurs under your account.

Founder OS workspaces include team seats. The workspace owner may invite people to those seats and is responsible for who holds a seat and for removing a seat when that person should no longer have access. Each seat is for the invited person. Do not share a seat.

4. Purchases, payments and subscriptions

Purchases made on our website are processed by Stripe. By providing payment information you authorise Catalyst88 to charge the applicable fees to your payment method. Prices are listed in US dollars unless otherwise stated. You are responsible for any applicable taxes.

Subscriptions — Subscriptions renew automatically at the then-current price for the interval you chose until you cancel. You can cancel at any time through the Stripe customer portal linked from your account. The portal also shows your plan, price, and next renewal date. Cancellation takes effect at the end of the current billing term; you keep access until then and are not charged again. Until that portal is available for every membership, including Chairman's Circle and Chairman's Circle PRO, you can cancel by emailing support@catalyst88.com.

If we offer mobile apps and you buy through Apple's App Store or Google Play, that purchase is processed by the applicable store under its terms, including that store's refund terms. Refund requests for those purchases must go to Apple or Google. You cancel a store subscription through the store's own subscription management.

5. Refund policy

All fees are non-refundable. This applies to every plan and Offering, including monthly and annual subscriptions, the $799 lifetime Founder OS purchase, Chairman's Circle, and Chairman's Circle PRO. When you cancel, you keep access until the end of the term you have paid for, and we do not give refunds or credits for partial periods, unused time, or unused features, except where the law requires it.

6. Community Guidelines and Acceptable Use

The Catalyst88 community is a private, curated community for serious operators and founders. You agree to uphold the following standards at all times.

6.1 Encouraged behaviour

• Share genuine insights, wins, and lessons from your business experience.
• Give constructive, respectful feedback — challenge ideas, not people.
• Respect the confidentiality of what other members share inside the community. What is shared in the community stays in the community.
• Support fellow members with introductions, referrals, and accountability.

6.2 Prohibited conduct

You agree not to post, transmit, or facilitate content or behaviour that:

• Is unlawful, defamatory, harassing, abusive, threatening, obscene, or discriminatory on the basis of race, gender, religion, nationality, disability, sexual orientation, or any other protected characteristic.
• Constitutes spam, unsolicited advertising, or self-promotion without prior approval from Catalyst88 staff.
• Shares, reproduces, or distributes paid program content (course materials, recordings, resources) outside the Services or to non-members.
• Impersonates any person or entity, or misrepresents your affiliation with any person or entity.
• Contains viruses, malware, or any code designed to disrupt, damage, or gain unauthorised access to any system.
• Violates the intellectual property rights of Catalyst88 or any third party.
• Solicits personal financial information from other members or promotes investment schemes, MLM programs, or other high-risk financial products.
• Interferes with or disrupts the integrity or performance of the Services or their infrastructure.

Catalyst88 reserves the right — but not the obligation — to monitor, review, edit, or remove any content that violates these guidelines, at our sole discretion and without prior notice. Serious or repeated violations will result in immediate suspension or permanent termination of your account without a refund.

7. User-Generated Content

You retain ownership of content you post in the Services ("Your Content"). By posting Your Content, you grant Catalyst88 a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, adapt, publish, and display Your Content solely for the purpose of operating and improving the Services.

You represent and warrant that you own or have the necessary rights to Your Content and that posting it does not violate any third-party rights or applicable laws. Catalyst88 does not endorse any user-generated content and takes no responsibility for it.

Posts and comments you share in the community are part of the community record. If your account is deleted, your login and personal profile are removed, but your posts and comments stay visible under the byline "Deleted user", and the licence you granted for that content survives deletion of your account.

8. Licence to use the Services

Subject to these Terms, Catalyst88 grants you a limited, non-exclusive, non-transferable, revocable licence to access the web Services for your own use with an Offering you are enrolled in, including a free tier where one is offered.

If we offer mobile apps, we also grant you a limited, non-exclusive, non-transferable, revocable licence to download and use those apps on devices you own or control, for your own use with your enrolled Offering.

You may not:

• Copy, modify, or create derivative works of the Services or their content, except as these Terms allow for Your Content.
• Reverse engineer, decompile, or disassemble the Services except as permitted by applicable law.
• Rent, lease, lend, sell, sublicence, or otherwise transfer the Services or your account to any third party.
• Use the Services for any commercial purpose not permitted by these Terms.

9. Intellectual Property

All content on the website and in the Services — including text, graphics, logos, videos, course materials, and software — is the property of Catalyst88 or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence in Section 8.

10. Email and notifications

Email, including sign-in links, community digests, Decision Room messages, and marketing, is sent through HighLevel. By creating an account you agree to receive transactional email necessary to operate the Services, such as sign-in links and payment receipts. You may opt out of marketing email with the unsubscribe link in those messages or by emailing support@catalyst88.com. Opting out of marketing email does not stop transactional email and does not affect your access to the Services.

If you use our mobile apps when available and grant notification permission, you may also receive push notifications. You can turn those off in your device settings. Opting out of push notifications does not affect your access to the Services.

11. Third-party services

The Services integrate with or link to third-party services, including Stripe, Supabase, Cloudflare (hosting, R2 and Stream media, and Web Analytics), HighLevel, OpenAI, and Daily, and embedded third-party video players when members share them. Your use of those services is governed by their terms and privacy policies. Catalyst88 is not responsible for the availability, accuracy, or practices of any third-party service.

AI features, including the AI Advisor, generate output from materials you choose to submit. That output may be incomplete or wrong. It is not professional advice, and you are responsible for decisions you make after reading it.

If you download a mobile app from Apple's App Store when available, Apple is not a party to these Terms and has no obligation to provide maintenance or support for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms solely with respect to App Store provisions.

12. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT, PRODUCTS, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CATALYST88 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Business coaching and educational content are provided for informational and motivational purposes only. Results vary and are not guaranteed. Testimonials and examples of results are not typical and do not constitute a guarantee of your own results.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CATALYST88 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CATALYST88'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CATALYST88 IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Catalyst88 and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Termination

Catalyst88 may suspend or terminate your account and access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your licence to use the Services ceases. The licence you granted for posts and comments survives deletion of your account, as described in Section 7. Sections 7, 9, 12, 13, 14, 16, and 17 survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

17. Changes to These Terms

We may modify these Terms at any time. We will post the revised Terms on this page with an updated "Last updated" date. For material changes, we will notify you by email and post a notice on the site. Your continued use of the Services after a change constitutes your acceptance of the new Terms.
